A. Services:
We offer different levels of memberships, currently they are: Free Membership (FM) and Advertising Member (AM). We also have Advertising Client (AC), which is an advertising only client, not a member. Each of these utilizes three different areas of service.

ASDI Services

1. Viewing Websites Daily: Make commissions off of viewing advertising websites (non-guaranteed).
2. Make commissions by personally sponsoring paying Advertising Members (AM).
3. Advertising your website. Purchasing advertising for your business website.
4. Selling products and offering other services through ASDI website.

B. Memberships

1. Advertising Member (AM) - referred to as Advertising Members (paid member, views ads and buys advertising for their website).

• Membership Fees: $15.00 per month, minimum of 3 months (non-refundable).

1. Advertising Client (AC) - referred to as Advertising Client (non-member, non-viewing, only buys advertising for their website)

• Referred to as Clients, Advertising Clients or AC.
• Non-member
• Non-viewing
• Only purchases advertising for their business website(s)
• The Advertising Client purchase price, please see Advertising Client tab, for basic pricing for bulk pricing contact sales.
• Advertising is a guaranteed delivery service!
• Minimum purchase $100.00.

Direct Advertising by AC:
If a member sponsors a business/entity, and signs up that business as an Advertising Client (AC). The AC cannot create an Advertising Member account to sell advertising to their own company or business locations. The AC will need to allow their sponsor to signup each location or business, so that the AC sponsor is not intentionally deluded.

SECTION 2

TERMS OF SERVICE
By joining Ad Sales Daily, Inc. as a member or client, you agree to abide by all terms and conditions stated in this agreement. Although the Company will attempt to keep members or clients informed of any changes in these policies, Ad Sales Daily, Inc. reserves the right to modify this agreement, terms, policies, or conditions without prior notification. Ad Sales Daily, Inc. values our members and clients and wishes to provide them with a results-oriented advertising program. To receive the best service, all members or clients need to follow the same policies. These policies are intended to make Ad Sales Daily, Inc. the most efficient and profitable advertising program in the industry.

Advertising Purchases (packages)
All payments made to Ad Sales Daily, Inc. in regards to Advertising Packages are considered Advertising Purchases, not investments or deposits of any kind.

All sales are final. Ad Sales Daily, Inc. does not guarantee any earnings, profits, or cash out. Any commissions/earnings paid to members, are for the services of viewing advertisements (daily advertising website viewing), purchases made by sponsoring members or sponsoring clients. All Advertising Purchases are non-refundable.

Ad Sales Daily, Inc. does not accept any chargebacks or fraud. As an Ad Sales Daily, Inc member you agree and comply that all payments, for any service, will not be charged back or commit any type of fraud. All services and purchases on your credit card are final and not reversible. By joining, and making any payments of any kind, you understand that we do not accept any chargebacks. All chargebacks will be considered fraud. All sales are final. No refunds or chargebacks. If you make any chargebacks your credit card will be blocked and included in a database of negative cardholders. This will prevent you from signing up on any other site. This measure is to protect both you and online merchants from fraudulent credit card purchases. Users who intentionally gain access to this site with no intention of paying, and later dispute the charge/s with their credit card company and/or refuse to pay the charge, are committing fraud and are subject to criminal charges and civil litigation under interstate commerce laws. If you charge back a credit card charge for a payment initiated by you, you agree to allow Ad Sales Daily, Inc. to suspend or cancel your account until the chargeback amount is fully recovered. If you have no intention of paying, DO NOT SIGN UP! You specifically agree that you will not make a chargeback on your credit card against Ad Sales Daily, Inc. and agree that if you attempt to make any such chargeback, you will be charged, and agree to pay any and all cost for Ad Sales Daily, Inc. to dispute any and all chargebacks. Your use of this service means you understand, and agree to these terms and conditions. It is your responsibility to read this page, and all other information on ASDI website, and stay informed of any changes to the service provided by Ad Sales Daily, Inc.

IMPORTANT
Any member that does a chargeback will be removed from ASDI system immediately and any commissions paid to the sponsoring Member will be charged back to that sponsoring members account and the Tier 1 referring Member and the Tier 2 Member above the Member that does the chargeback.

MAXIMUM & MINIMUM ADVERTISING PURCHASES:

• The minimum Advertising Purchase is $100.00.
• The maximum Advertising Member (AM) Ad Purchase is $3000.
• The maximum Ad Purchase amount for Advertising Client is $5000.
• Minimum Cash Out is $20.00 US Dollars.

Note: We do allow in certain circumstances an Advertising Member can purchase above the maximum, as long as they meet certain requirements.

SECTION 3

Members Earn commissions by: (and more detailed information)

• Expired memberships will not earn any commission until they renew their membership.
• If a Free Member has sponsored other members and there are monies shown due to them in "Cash Balance" or " Pending Trans" for commissions/earnings, you cannot receive any Cash Outs unless you are a paying member.
• Referral selling of advertising to Advertising Clients (AC). Advertising which is sold to Advertising Clients by you as the personally sponsored client.
• Viewing minimum of thirty (30) advertising websites per day (15 seconds each).
• Advertising that is purchased by your personally sponsored Advertising Members (AM) in your level 1 or 2.
• Advertising that is purchased by your personally sponsored Advertising Clients (AC) in your level 1.
• The daily commissions you earn from viewing will be posted the following day. (On the "Member Area" page, under "Accrued Balance")
• Each time you view an advertising website you will earn one "Account Credit", toward your 30 advertising views for that day. Each evening the system will verify that you viewed your minimum 30 advertising views (Account Credits) and based on a proprietary formula, will add a monetary amount for that day to your "Accrued Balance". See also Viewing Credits below.
• The "Accrued Balance" will continue to increase each day when you have viewed the required number of viewing ads for each particular day. This "Accrued Balance" will only increase until it totals the same amount as your ad package purchase, plus a 50% commission for viewing advertising. At that time, the member's ad package purchase will have "fully matured". The total amount of the member's maturing ad package purchase, includes the 50% viewing commissions, will be transferred from the "Accrued Balance" to the member's "Cash Balance". The member's "Accrued Balance" will decrease by the same amount by the same amount that goes into "Cash Balance." The "Cash Balance" is the ONLY money available to the Advertising Member for Cash Outs. Cash Outs are only done twice per month. You must request a Cash Out before the payout cycle locks.
• Commissions earned for advertising sales to your level 1 Ad Clients and by your level 1 and 2 members will be shown immediately, if paid by commissions, in the member's "Cash Balance". Otherwise it will be listed as "Pending Trans" (pending transaction) until cleared. Level 1 members are those directly sponsored by a member and Level 2 members are those sponsored by members of Level 1. Members will earn 10% commission for all advertising packages that are purchased by that member's Level 1 members. Members will also earn 10% commission for all advertising packages that are purchased by that member's Level 2 members. These commission rates may be changed at any time. Any such notice will be sent by email to the ASDI internal email address.
• Accumulations of commissions is based on active membership and active accounts. You will not earn if your account goes to inactive account status, your account is suspended or deleted by ASDI, if your membership expires, or your account goes into Free Member status.
• When a purchase is made through any payment type (credit cards, checks, money order, or wires), except for purchasing with commissions, there will be a minimum of a three (3) day holding period, where the payment will be listed in "Pending Trans" just below your "Cash Balance". The purpose of holding funds is a requirement by the banks to insure all monies have cleared and are actually in ADS's bank accounts. Once cleared the three (3) days, it will be transferred to your "Cash Balance".
• No Guaranteed Commissions - This service provided by ASDI is NOT guaranteed. Under no circumstances does ASDI guarantee any commissions or earnings. Commissions will only be paid out ONLY when, and if, there are monies are in the "Members Daily Balance". This is not a get rich quick scheme. Ad Sales Daily is an advertising system. "Members Daily Balance" is located on the history page, under the section called "System Status". When any Advertising Package is purchased, ONLY 50% is added to the "Members Daily Balance." So all commissions, or earnings for level 1 and 2 and viewing commissions are based on the funds in the "Members Daily Balance." All members and sponsors are fore warned of this possible commission subtraction that may occur due to chargebacks or illegitimate funds by any of their members in their level 1 or 2 or clients in their level 1. You will not earn commissions if there are no monies in the "Members Daily Balance".
• Any member that does a chargeback will be removed from ASDI system immediately and any commissions paid to the sponsoring member will be charged back to that sponsoring members account. This will effect the two levels of members above this member. The Level 1 referring Member (the sponsor) and the 2nd Level above the Member that does the chargeback. All members and sponsors are fore warned of this possible commission subtraction that may occur due to chargebacks or illegitimate funds. Chargebacks will also effect the "Members Daily Balance".
• Advertising Clients and direct advertising: If a member sponsors a business/entity, and signs up that business as an Advertising Client (AC). The AC cannot create an Advertising Member account to sell advertising to their own company or business locations. The AC will need to allow their sponsor to signup each location or business, so that the AC sponsor is not intentionally deluded.

Viewing Credits
Members will be awarded one viewing credit for each advertising website viewed for at least fifteen (15) seconds and these viewing credits will go directly into the member's "Account Credits (Pending / Bonus Pending)". To earn a day's ad viewing commission, each member must have viewed the required minimum of thirty (30) advertising websites or have at least (30) thirty credits in the member's "Escrow Credits" at the end of the day. The "Escrow Credit" definition is below. "Escrow Credits" are available as a feature to allow a member to miss a day(s) of viewing and still being able to earn viewing commissions for that particular day. Each day if you do not view your minimum 30 ad views (viewing credits) and if the program "finds" at least thirty (30) credits in the "Escrow Credits"when the update process occurs, it will deduct those thirty (30) credits from the member's "Escrow Credits". Then the system will credit the member their calculated monies due to their "Accrued Balance," with the ad viewing commission for that day. If less than (30) thirty viewing credits are in the "Escrow Credits" at the end of the day, no ad viewing commission will be awarded for that day. No exceptions. This section may be changed at any time without notice by ASDI. See also Commissions information above for more information.

Escrow Credits
Earn one (1) credit for every advertising website you view. Credit views: Minimum 30 and Maximum 50 per day. All extra credits over 30 (31+) will be placed in your Escrow credit account. If you have a minimum of 30 Escrow credits in your account, and you are not able to view on a particular day, or do not view the minimum, then the system will automatically deduct 30 credit from your Escrow Credits account to cover your 30 views for the day, so you can earn your viewing commissions for the day. Maximum Escrow credits earned is 20 per day. This section may be changed at any time without notice by ASDI.

You can Escrow these extra credits to use them at a later time when you want to take a day or two off from viewing. Your Escrow credits will also act as a safety buffer when you forget to view ads on any day. As long as there are at least 30 credits in your Escrow account, they will be automatically subtracted from your Escrow account, and you will earn ad-viewing commissions. Escrow Credits will automatically be checked by the system every night if you have not reached your minimum of 30 advertising views for that day. If no "Members Daily Balance" is available, you will not loose any Escrow Credits.

Example: If you only do 20 ad view in a particular day, then 10 Escrow credits will be subtracted from your Escrow account to meet the minimum, so you can earn your ad-view commissions for that day. You have to already have Escrow credits in the system to do this.

SECTION 4

Member & Client Responsibilities:
It is incumbent upon all members to be accountable and responsible for all Ad Sales Daily, Inc. associated actions. The following are member responsibilities:

• You are responsible for your own login and password. Any unauthorized use is the responsibility of the Member or Client. ASDI is not responsible. We recommend to not give out your account information to anyone. No employee of ASDI will ever ask for personal information, for we already have it. We ask to verify a few details to confirm whom we are communicating with. Sensitive information is encrypted from all employees, such as full credit card numbers, full social security, etc. We only display the last four digits of these pieces of information to verify communications with client.
• The maximum commissions you can earn is up to $600.00 dollars without a inputting your Social Security Number or your Federal Tax ID Number. This is required by law. Any commissions earned over $600.00 dollars is required by law to be reported. Ad Sales Daily, Inc. tracks all earnings and will send to the member their tax form.
• Read the Frequently Asked Questions (FAQ's).
• Sign up with the your own, unique email address. Do not use your ASDI internal email to signup.
• To receive commissions, each member will need to open up a PayPal account, or use your pre-existing PayPal account. PayPal does not charge for this service, and the account is free. All payout fees are paid by ASDI. All payouts are deposited directly to your PayPal account and from there you can transfer to your personal bank account. You may also use your commission while in ASDI system to purchase more advertising from your "Cash Balance," rather than taking the money out through a Cash Out through PayPal. Making it easier to purchase more Ad Packages.
• The Member may not personally sponsor the member's spouse, or another member with the intent to delude commissions that are due to their Sponsor. Members may not receive Level 1 or Level 2 commissions from the member's spouse. The member's spouse should be sponsored by the same member/entity that sponsored the member. If commissions are taken away from their sponsor, due to purposely trying to delude the member above you, ASDI can at any time can cancel or delete a members account. Then all members below the spouse or member that is deleted, will move up one level. It is ASDI's sole discretion whether any account is canceled or deleted. ASDI will be performing a system algorithm that will compare the percentages of signups under members and their level 1 and level 2.
• If your intent is to signup one person below you, then signup all additional members or majority of all members below them (level 1), as your 2nd level, thus trying to delude or defraud your Sponsor above you from making their commissions, then your account or the level 1 account may be canceled at any time by ASDI. It is ASDI's sole discretion whether any account is canceled. ASDI will be performing a system algorithm that will compare the percentages of signups under members and their level 1 and level 2.
• In order to be an advertising member of Ad Sales Daily, Inc., the advertising website must have a product, service, program or opportunity to advertise or have access to a website for which the member is authorized to advertise. Such as a referral site. We only allow a limited number of referral (affiliates) sites. No sites may redirect. No sites can be in competition with ASDI. No surfing sites.
• If the member has problems viewing ads, the member must submit a support ticket the SAME day the problem occurs, NOT a subsequent day.
• If the Member's "Home", "Referral" or "History" pages do not reflect the proper credits, dates or commissions, the member must submit a support ticket the SAME day the problem occurs, NOT a subsequent day. It is the member's responsibility to verify all information daily.
• You must know the time zone and the cut off time for viewing advertising website. The member has twenty-four (24) hours to view thirty (30) advertising websites. A day at Ad Sales Daily, Inc. begins at 1:00 a.m. CT and ends at 12:59 a.m. CT by the server time.
• You MUST be courteous to ASDI staff at all times; regardless of any problems the member is experiencing.
• When making an advertising purchase, the member/client must follow the process through to completion to ensure the purchase is reflected in the member/client's Ad Sales Daily, Inc. account.
• You must be willing and able to receive emails from Ad Sales Daily, Inc. and its affiliates and authorized third parties as a requirement of membership. Our internal Ad Sales Daily Inc email accounts for each of our members, is our official email accounts for ASDI to emailing notifications, policies, etc. Please check daily. It is the responsibility of the Member or Client to check their ASDI internal email account for notifications.

Multiple Accounts:
Advertising Clients (AC) may have more than one account to advertise. Members are allowed to have only one membership account. If any member is found to have multiple accounts with Ad Sales Daily, Inc., than ASDI will be given the option of canceling all but one account or canceling membership completely. ASDI reserves the right to disable or terminate all said membership/s without notice. Ad Sales Daily, Inc. reserves the right to determine what violates this policy. Memberships, all ad purchases, and earnings are non-refundable and not transferable to the account that is possible still active.

Advertising Client (AC) has to setup a new account to become an Free Member (FM) or and Advertising Member (AM). An Advertising Client (AC) may have only one Member account, but may have multiple Advertising Client (AC) accounts.

Cash Outs:
Cash Outs will be completed twice per month. All cash outs must be manually requested before lock in date. Once paid the funds will be deposited into the member's PayPal account. Cash Outs will not be distributed on weekends, major holidays and any other time that PayPal is closed or not available. Request a Cash Out through your "Member Area", then click on "Cashout" to the left of "Cash Balance," payout lock in date and payout dates are listed here. Cash Outs schedules will be listed by dates in your "History" page after the cash out request is locked, under title "Cashout History" section. If there is a problem with Cash Outs they will also be listed in the same section under the tab called "Status". If a Free Member has sponsored other members and there are monies due to them in "Cash Balance" or "Pending Trans" for commissions/earnings, you cannot receive any Cash Outs unless you have a current paid membership and membership is in active status.

SECTION 5

Website content:
Each site promoted on Ad Sales Daily, Inc. must comply with the following rules:

1. Advertised websites must not include the following: High Yield Investment Programs (HYIP's), auto-surfing, auto-surf relating content, illegal matrix, pyramid or ponzi schemes, get rich quick schemes, Gifting and other similar ventures. We do not allow website advertising of HYIP websites, get rich quick scheme websites, dangling money advertising websites, or the like. If the website does not promote a real business, such as selling of goods or services, or promoting a legitimate informational website, then the website will be rejected. If you have a site that offers a legitimate program that the public could earn income then that landing page in our rotation must be toned down and explain the facts and not focused on get rich quick concept. Any enticing or alluring advertising just to gain someone's information or money, will be rejected and not be allowed in our rotation.
2. Advertised websites must not have fraudulent pop-up windows, downloads, redirects, Trojans, viruses or malicious code. ASDI does allow in certain circumstances the use of popup windows. If you are annoyed with popup windows then please turn on your popup blocker on your browser.
3. Advertised websites must not be broken, no parked domains (domains cannot be set for parking only, must be an active site), under-construction, or slow loading.
4. Blind Ads - Websites that promote a product, service or program must disclose on their landing page the information on the product, service or program to our viewers before requesting their personal information on a signup form. To clarify, when a site requires a viewer to complete a signup form to request information on the product, service, or program due to the fact that the website is not disclosing the full information We do not accept sites that blindly mislead members to only gather their information. For example: a website/landing page that says it has a great product, service, or program that gives NO information about what it is selling, and requires the website viewer to input personal information for more information on the product/service/program.
5. Advertised websites must not contain or promote the following themes: profanity, drugs & drug paraphernalia, pornography, adult entertainment, adult toys, nudist organizations, unacceptable display of lingerie, weapons, explosives, matchmaking, mail-order brides, hostile religious content, Goth, Wicca, Satanism, war games and must not contain violent, vulgar, hate related or any similar or other inappropriate content. Ad Sales Daily, Inc. reserves the right to determine unacceptable themes, content and or linked content.
6. Members may not use any part of member's adsalesdaily.com website name as advertising on the members website. Any sites submitted using any part of adsalesdaily.com or Ad Sales Daily, Inc. as the member's advertising will be deleted, and if it is not removed off website, Ad Sales Daily, Inc. has the right of legal recourse.
7. Auto-rotators, auto-viewers, or URL trackers of any kind are not allowed.
8. Sites in any language are acceptable, but the largest target market is English. Ad Sales Daily, Inc. accepts no responsibility for offensive content in non-English advertising. However, site language needs to be in their proper listing. Site(s) that are not listed correctly in rotation will be rejected. Ad Sales Daily does not allow non-English website advertising in a English rotation. Nor do we allow English sites in non-English rotation. When you signup as a member you choose a site language, the current default is English. Please choose the correct language that reflects the website content you will be advertising.
9. If any of the policies are broken, the offending account may be cancelled or deleted without notice and all commissions earned will be lost and is not recoverable or transferable.

SECTION 6

Account Status - Suspended, Inactive, Deleted, Cancelled, and Active:
If an Advertising member is current on fees they will remain active.

A. SUSPENDED members:

• Any account can be suspended by ASDI if one of the following apply: policy is broken, abuse or fraudulent activity.
• Member can still earn commissions. (Advertising Member only)
• Suspended accounts are not deleted accounts.
• You can reactive a suspended accounts with ASDI's approval.

B. INACTIVE members:

• After 90-days if the system sees no activity on account it will go into Inactive status.
• Inactivity means the system sees an account that has not been accessed for 90-days.
• If Advertising Member becomes inactive that member can still be earning commissions from their level 1 and 2 up to 90-days of inactivity.
• If a Advertising Member (AM) membership fees have lapsed, there is no activity for 90-days, and there IS a balance in their Accrued Balance or Cash Balance account, that Advertising member's account automatically becomes INACTIVE.
• If a Free Member (FM) account has no activity for 90-days and there IS a balance in their Accrued Balance or Cash Balance account, that Free Member's account automatically becomes INACTIVE.
• If an Advertising Client (AC) advertising credit balance is zero and has had no activity for 90-days the account will become INACTIVE.
• Once your account reaches 91-days of inactivity, then no earnings can be made. Also, after 180-days the account will be Deleted. All level will move up one. All monies earned or due are forfeited.

C. DELETED members:

• Any membership account will be deleted after 180-days. The account will lose all levels and any monies on account or due.
• Advertising Clients cannot be deleted.
• All deleted accounts cannot be reinstated. You will need to open a new account.
• If Ad Sales Daily, Inc. deletes an account due to not following our company terms, polices and procedures, they may NOT open a new account at any time.
• Deleted accounts are permanently gone.

D. REACTIVATE From Inactive Status Only:

• Deleted accounts can not be reactivated.
• Free Member (FM)
  To reactivate your membership account, you will need to login to your account and send a support ticket.
• Advertising Member (AM)
  To reactivate your membership account, you will need to login to your account and send a support ticket. Then you will need to pay for your membership fees if you wish to reinstate your Advertising Member (AM) status.
• Advertising Client (AC)
  To reactivate your account, just login and create a support ticket.
• We are not required to reactivate any account at any time. It is at Ad Sales Daily, Inc. sole discretion.

E. CANCELLED by Ad Sales Daily, Inc. (ASDI) - Cancellation or Deletion of Any Account:

ASDI has the right to Cancel or Delete an account with or without notice at any time if the member or client has not followed or has broken our company terms and policies as set forth in this entire document or on any of our policies from any other document whether in writing, by mail, by email, or on any or all of ASDI's website policy pages, including but not limited to all departments of ASDI. All membership fees and/or commissions earned may be lost. We are not required to reactivate any account at any time. It is at Ad Sales Daily, Inc. sole discretion. There are absolutely no refunds.

F. CANCELLATION by any Member or Client:
Any member or client may cancel at any time their entire account. You may contact us through support ticketing to request cancellation. The account will automatically pay out all monies due in the Cash Balance account if membership fees are current. If members chooses not to renew their membership then all Cash Balance monies will be deleted from their account. Any amounts in the Accruing Balance account for that member will be deleted, and the status will become inactive or deleted. This must be done through support ticketing, so we can verify that that member or client requested it. All members and Clients are responsible to protect their own login and password for their account with Ad Sales Daily, Inc. and if they have any unauthorized use of their account it cannot be reversed if the account has been deleted. All levels under deleted memberships will move up one level.

SECTION 7

Advertising and Promotion
To maintain the integrity of the Ad Sales Daily, Inc. advertising program, certain requirements and guidelines governing the advertising and promotion by Ad Sales Daily, Inc.'s members must be imposed. Misuse of the Ad Sales Daily, Inc. (ASDI) name or logo and its affiliated services/products diminishes the goodwill of ASDI, affects all Ad Sales Daily, Inc.'s members and clients, and is strictly prohibited.

1. Use of Authorized Promotional Materials:
   Only the materials that are made available directly by ASDI may be used for advertising or promoting Ad Sales Daily, Inc. ASDI will produce and offer for free or for sale, at a reasonable price, materials that can be used to promote a member's business. No reproduction, personalization or modification of any of these ASDI materials is allowed unless approved in writing by ASDI. Members may not develop, publish, sell or distribute any Ad Sales Daily, Inc. related promotional materials. Any violation of this policy may result in termination of membership.
2. Blind Ads:
   No radio or television advertising of any type is permitted without written consent from ASDI. All printed ads must not include the Ad Sales Daily, Inc. name. For example, a printed ad could end with the statement, "for details, call Joe Jones at (706-432-7890)". It may not end with "for details, call John Jones, Ad Sales Daily, Inc. Advertiser at (706-432-7890)." The latter statement is prohibited because it uses Ad Sales Daily, Inc., which makes the ad no longer blind.
3. Product Claims:
   Ad Sales Daily, Inc.'s members shall not represent any claim for any product or service that is not explained in Ad Sales Daily, Inc.s promotional materials. Ad Sales Daily, Inc. is only responsible for material printed or contained in ASDI provided materials.
4. Business Cards/Stationery:
   Ad Sales Daily, Inc. offers business cards and stationery through an optional approved independent vendor. Members may use the services of any printer, providing Ad Sales Daily, Inc. guidelines are followed. The Ad Sales Daily, Inc. logo may be duplicated on the business card or stationery, but the words "Advertising Member" must appear immediately after the logo. All that may be printed on the card is phone number(s), address, member name and level as stated above, e-mail address and Ad Sales Daily, Inc. web address, and the member's referral link.
5. Business Names:
   Ad Sales Daily, Inc. members may not use the word Ad Sales Daily, Inc. within another business name.
6. Copyrights:
   Ad Sales Daily, Inc. reserves ownership rights to the contents and design of all ASDI published materials and websites.
7. Telephone Calls:
   Members shall not answer the telephone "Ad Sales Daily, Inc." or give an answer that creates an impression that the caller has reached the corporate offices of Ad Sales Daily, Inc.
8. Prerecorded Telephone Solicitation Devices:
   ASDI name or copyrighted materials may not be used in automatic calling devices or "boiler plate" operations to solicit Ad Sales Daily, Inc.'s products, services and income opportunities.
9. Media Inquiries:
   Ad Sales Daily, Inc. members may not solicit coverage or publicity from the media regarding the Ad Sales Daily, Inc. business, nor may they appear on radio or television talk shows to promote the member's Ad Sales Daily, Inc. activities. If an Ad Sales Daily, Inc. member is contacted by the media (radio, television, the press, or other) please refer the contact should be referred to the Ad Sales Daily, Inc. corporate office in order to maintain information accuracy and a consistent ASDI image.
10. Member & Client own website/s:
    You may not have a personal website advertising ASDI services with Ad Sales Daily, Inc. displayed or listed. We do not want to appear as if Ad Sales Daily, Inc. is marketing on that website. Unless you have written approval by ASDI directly.

If you are utilizing this coupon feature on our viewing bar, you must agree with the following:

• The coupon must be legitimate.
• Either have a storefront open to the public and you allow walk-in business or a fully functional online e-commerce business.
• An expiration date on the coupon. If you choose not to put an expiration date on your coupons, and if the coupon holder tries to redeem them in your place of business or your online business you must honor that coupon. Or give the coupon holder something of equal value.
• If a coupon holder tries to redeem your coupons and you are out of stock or no longer carry that product, then you must replace the item with something of equal value.

You can receive a discount and that coupon you generate for yourself is only good for 24 hours. You may not give the coupon discount to anyone. It is for the Member or Client only. If someone you know would like a discount, just have them sign up as a Free Member or Advertising Member to receive their own coupon discount code.

SECTION 9

User-Supplied Content:
Ad Sales Daily, Inc.'s services and materials may be used for lawful purposes only.

Spam:
If a member is found guilty of spamming, Ad Sales Daily, Inc. reserves the right to, without warning, disable or terminate that membership immediately. Ad Sales Daily, Inc. may impose a penalty for each spam policy violation. Ad Sales Daily, Inc. reserves the right to cancel known spammers. Ad Sales Daily, Inc. also reserves the right to determine what violates this policy, in which case, any violation that occurs may result in membership termination without refund of any monies. Refer to our Spam Policy page more details.

Defamation:
Defamatory speech distributed over the Internet can result in civil liability for the defamer.

Refusal of Service:
Ad Sales Daily, Inc., at its sole discretion, reserves the right to refuse or cancel service to any member. Violation of any policies, rules or regulations could result in a warning, suspension, or possible membership termination. Memberships may be terminated for cause without any prior notice to the member. Memberships terminated due to policy violations will not be subject to refunds. There are no refunds.

Waiver:
By completing the membership process, the member agrees to the following: "In keeping with these terms, I, the member, furthermore release and forever discharge and hold harmless Ad Sales Daily, Inc., developers of this package, their founders, their heirs, successors, and assigns from any liability, claims and or demands of any kind or nature either in law or in equity, which arise or hereafter arise from my advertising purchases."

Indemnification:
The member agrees that he/she will protect, indemnify, save and hold Ad Sales Daily, Inc. harmless from any and all liabilities, losses, expenses and claims, as well as reasonable attorney's fees assessed against Ad Sales Daily, Inc. or software package developer, its agents, officers, employees and administration that may arise or result from any service provided or performed or agreed to by any product sold by its members or clients, agents, employees or assigns. Member agrees to defend, indemnify and hold Ad Sales Daily, Inc. harmless against liabilities arising out of: (1) any injury to person or property caused by any products sold or distributed by a member and advertised on adsalesdaily.com website, (2) any material furnished by a member infringing or allegedly infringing on the rights of a third party, (3) copyright violation and any defective products sold to a client from the adsalesdaily.com website.

ASDI will not be responsible for losses, costs, damages, expenses incurred, server down time, loss of data, data packet loss, and or miss typed error or mistakes; as well as incidents or issues caused by, or due to, flood, fire, earthquake, power outage, down communication lines, down internet circuits or lines, data non-delivery, data miss-delivery, theft, foreign intruders, acts of God, or any other accident or incident that is not the result of actions by ASDI. In any such event, ASDI shall continue to perform all SERVICES to the extent reasonable under the circumstances. System maintenance will be performed during scheduled maintenance hours, normally done between the 9:00pm - 5:00am. This is done approximately once a quarter, except for emergencies.

Governing Law, Jurisdiction and Venue:
The laws of the State of Georgia and the jurisdiction of the Georgia State Courts of Cobb County, Georgia govern the validity, interpretation, construction and performance of this agreement. If Federal Court is determined, the jurisdiction will be the United States District Court in Atlanta, Georgia.

Ad Content:
Ad Sales Daily, Inc. maintains the right to act in a manner that preserves the public image, best interests and solvency of the Company including but not limited to: the suspension (without notice), right of refusal, and permanent removal of any advertising deemed inappropriate, or simply not in the best interests of the Company and its members or clients.

Disclaimer:
Ad Sales Daily, Inc. will not be held responsible in any way for unforeseen or uncontrollable events involving its business. Ad Sales Daily, Inc. will not be held responsible for any losses or damages a person or business may suffer for any reason.

Confidentiality Statement:
Ad Sales Daily, Inc. shall ensure that all personal information submitted in processing membership, billing information, etc. will be kept strictly confidential and used solely for the purposes for which it was intended, for the benefit of the member.

If a member fails to abide by these terms and conditions, Ad Sales Daily, Inc. has the option to terminate that membership immediately.

If member completes membership and purchases advertising or views websites, this is a second confirmation of understanding of all terms and conditions. Ad Sales Daily, Inc. reserves the right to change the terms and conditions of this site at any time.

Privacy Policy:
Ad Sales Daily, Inc., takes membership privacy seriously and has created this Privacy Policy in order to demonstrate ASDI firm commitment to online privacy. IP Addresses: ASDI uses IP addresses to help diagnose problems with the web server and for the general administration of the website. A member's IP address is also used to prevent duplicate registration for any reason. Finally, a member's IP address may also be used to help verify that member's true identity.

Obligations of all the Members (FM & AM) and Clients (AC).
All memberships or clients are personal and cannot be assigned. Members or clients may not post materials that violate the rights of others including rights of privacy, intellectual property rights such as copyrights, trademarks and the like. You may not use Ad Sales Daily web site or affiliated sites (support site, info site) or any chat rooms, personal messages or other internal activity to post any type of commercial or "spam" messages. You will not impede with the use of the site by others. No profanity is allowed under any circumstances.

Ad Sales Daily, the principles, or affiliates are not liable for any legal violations of web sites advertised by clients or members, whether by this agreement or in fact, ASDI is not, and can not be held liable for any violations of any legal rights, including but not limited to copyright and trademark infringement. Direct responsibility is of each web site owner. As a member or client you understand this and hold ASDI harmless.

Typographical error
The ASDI is not responsible for typographical error or omissions relating to text, pricing, information, copy, photography or application.

Proprietary Information
The Service contains information, which is proprietary to us and/or users of the service. We assert full copyright protection in the Service and concept. Any information posted by us or users of the service may be protected whether or not it is identified as proprietary to us or to the user. You agree not to modify, copy or distribute any such information in any manner whatsoever without having first received the express permission of the owner of such information.

Rights of ASDI
ASDI may collect information from their site and may gather information regarding members and clients, whether contact information, biographical information, email addresses and any other information, etc., this also includes internal site activity such as, but not limited to, chat discussions or postings by members or clients. ASDI is the owner of this informational member and client list. We will not sell or rent out your name for solicitations purposes to other companies, unless we have members or clients approval. ASDI may provide member or client information and material to the site's "affiliates" for the purposes of technical support, software management or additional features added that require a third party to handle a specific type of transaction or feature. If the member or client does not agree to these policies, do not sign up. You must authorize all policies to become a member or client. Members and clients have no opt-out option. You as a member or client must agree to all policies. Opt out is to terminate all membership or affiliation with ASDI. You may at any time cancel your account. If you want information deleted we need to be informed, or else it goes into inactive status, and then gets automatically deleted after 90 days if there is no balance. ASDI may, in the future, give over to successors and/or assigns, partial or in whole this company, project or department and/or information. Ownership of all material posted and all copyrights or any other intellectual property is the ownership of ASDI. ASDI reserves the right to contact members and clients, and use current data on website of current or past members or clients for future projects of ASDI only.

As a member or client I represent and warrant that I will not violate any of these policies and I agree to hold Ad Sales Daily, and all principles or affiliates harmless in the event of any such violation.
